Sources of Income

The Company anticipates revenues from the following sources of income:

  • Client fees
  • Referral fees from professional business advisors, counselors, consultants, experts, and specialists
  • Brokerage fees as broker/agent from the purchase and/or sale of women's businesses and companies, in cash and/or stock
  • Corporate finance fees from mergers and acquisitions of women-owned companies
  • Corporate finance fees, commissions, and equity interests from raising equity capital (IPOs) for women-owned companies
  • Consulting fees and commissions for financial consulting and management and marketing consulting from women-owned businesses and companies
  • Profits from the purchase and sale of women's businesses and companies, where the Company acts as a principal/owner
  • Earnings and distributions from the Company's equity participation and ownership interests in women-owned companies
  • Management fees and equity interests from managing the contemplated Modern Women Investment Club and Modern Women Capital Venture Fund
Business of The Company

Modern Women, Inc. provides financial wealth, mental health, career, physical and lifestyle enhancement and other services for recently separated, divorced, widowed, senior and single parent women as well as women business owners and executives. These needed and desired services are provided by the Company's management and a network of affiliated professional women advisors, counselors, consultants, experts and specialists. These services are promoted through strategic alliances with women's groups, associations and organizations.

The Company has targeted and is establishing relationships with many women professional advisors. This network of accessible women professional advisors are available to provide these needed and desired client services. They will also refer new potential clients to the Company, and therefore represent a source of business and revenue. They include, but are not limited to, the following:

The Company has also targeted, and is establishing relationships with, many professional women's groups, associations and organizations. The Company is forming strategic alliances and associations with these groups, associations and organizations and will refer clients to them to increase their membership. In return, these groups, associations and organizations will refer new potential clients to the Company and, therefore, provide a source of business and revenue.

Modern Women, Inc. also provides business and corporate financial services for women-owned businesses and corporations.

The Company offers women's business brokerage services as a broker/agent. Women owners, and potential owners, will now have a marketplace to purchase and sell women-owned businesses. The Company may also acquire these businesses and companies, or ownership interests therein, as a principal/owner.

The Company also offers corporate finance and investment banking services, providing equity and debt financing for current women owners and/or potential owners of women-owned companies.

The Company additionally provides financial, management and marketing consulting services for current women owners, and potential owners of women-owned businesses and companies.

The Company conducts other business activities relating to women-owned businesses and companies. These activities include, but are not limited to, the following:

  • Forming and developing new women-owned and related businesses and companies
  • Purchasing and selling businesses and companies as a broker/agent to current and potential women owners
  • Facilitating mergers and acquisitions of companies owned by women
  • Raising equity venture capital for women-owned businesses and companies through private placements and public offerings
  • Providing management and marketing expertise to current and potential women business owners, in the areas of sponsorship, sales, marketing, promotions and media relations
  • Financial consulting to current and potential women business owners, including analyzing, evaluating, and determining the value of their businesses and companies
  • The Company may form and manage a women's investment club to be named Modern Women Investment Club, and a women's venture fund where women can invest in other women-owned businesses and companies, to be named Modern Women Venture Capital Fund.
